Terms of Sale

1. Purpose

These Terms of Sale govern the contractual relationship between Innovaweb and any user subscribing to a paid plan.

These Terms apply to any subscription made on innovaweb.fr and its subdomains.

2. Subscription Offers

Innovaweb offers several subscription plans. See our pricing for current offer details.

Pricing

Prices are displayed in euros (€) including VAT. Promotional prices are valid for a limited time and may be changed without notice for new subscriptions.

Annual Subscriptions

Annual subscriptions are billed once at signup at a reduced rate compared to monthly equivalents. The full annual token quota (equivalent to 12 months of monthly quota) is credited in a single payment at the time of payment. You can freely use these tokens throughout the year. On annual renewal, a new full annual quota is credited.

Plan Change

Upgrade

When you upgrade to a higher plan mid-subscription, your billing cycle is reset to the date of the change.

Terms: you are charged immediately for the price difference between your current plan and the new plan (e.g., €5.00 when moving from Premium €4.99/month to Pro €9.99/month). The new plan's monthly token quota is credited to your account immediately. Your next billing at the full new plan price will occur 30 days after the change.

This logic accounts for the consumable nature of tokens: one monthly cycle corresponds to one monthly token quota. Charging only the difference avoids double-billing the portion of your previous plan already paid.

Downgrade

When you downgrade to a lower plan mid-subscription, no refund is issued for the unused portion of your current plan.

Terms: the change takes effect immediately (your access rights reflect the new plan), but your billing date remains unchanged. On your next billing date, you will be charged the new plan's price and receive the corresponding monthly token quota. Tokens already credited remain available until consumed.

3. Payment Terms

Accepted Payment Methods

Payments are secured via Stripe. We accept:

  • Credit cards (Visa, Mastercard, American Express)
  • SEPA direct debit (subject to availability)
  • Other methods offered by Stripe

All payments are encrypted and secured. Innovaweb does not store any banking information.

Billing

Subscriptions are billed monthly on the anniversary date of subscription. Invoices are available in your client area and sent by email.

4. Right of Withdrawal

In accordance with Article L221-18 of the French Consumer Code, you are in principle entitled to a 14-day period to exercise your right of withdrawal without giving any reason.

This period runs from the date of subscription or token pack purchase.

Express waiver of the right of withdrawal

Innovaweb is a digital service whose performance begins immediately upon payment confirmation: access to AI features, token credit, content generation, etc.

By checking the Terms of Service acceptance box during Stripe checkout, you expressly request the immediate performance of the service and acknowledge expressly waiving your 14-day right of withdrawal, in accordance with Article L221-28 13° of the French Consumer Code (contracts for the supply of digital content not delivered on a tangible medium, where performance has begun after the consumer's prior express consent and express acknowledgement of loss of withdrawal right).

Proof of this waiver (timestamp and IP address) is recorded by Stripe and transmitted to us for evidentiary archival.

As a result, no withdrawal may be exercised once payment has been validated and the service unlocked. You may, however, cancel your subscription at any time for future billing periods (see Section 6).

If the waiver was not accepted (exceptional case), you may exercise your right of withdrawal by sending an email to contact@innovaweb.fr.

Where applicable, the refund will be made within 14 days of receiving your request, using the same payment method used during subscription.

5. Duration and Renewal

Subscription Duration

Subscriptions are taken out for a period of one month, automatically renewable.

Automatic Renewal

Unless cancelled, the subscription is automatically renewed at each monthly due date.

Payment is made at the beginning of each new billing period.

6. Cancellation

By User

You can cancel your subscription at any time via:

Cancellation takes effect at the end of the current billing period.

No pro-rata refund will be made for the remaining period.

By Innovaweb

Innovaweb reserves the right to cancel the subscription in case of:

  • Violation of the Terms of Use
  • Fraudulent or abusive behavior
  • Non-payment or repeated payment failure

7. Refunds

Refunds are granted in the following cases:

  • Exercise of the right of withdrawal within 14 days
  • Proven billing error
  • Major service unavailability (more than 72 consecutive hours)

8. Offer Modifications

Innovaweb reserves the right to modify subscription prices and terms. Changes take effect at the next renewal. You will be notified by email at least 30 days before any change.

9. Guarantees and Liability

Warranty Limitation

The service is provided "as is". Innovaweb does not guarantee:

  • Uninterrupted access to the service
  • Compatibility with all devices and browsers
  • Accuracy of transcriptions and AI analyses

Limitation of Liability

Innovaweb's liability is limited to the amounts paid for the current subscription. Innovaweb cannot be held liable for indirect damages.

10. Complaints and Mediation

For any complaint, contact us at contact@innovaweb.fr. We commit to responding within 48 hours.

In case of unresolved dispute, you can use a consumer mediator free of charge:

11. Applicable Law

These Terms are governed by French law. Any dispute shall be subject to the jurisdiction of the competent French courts.
