1. Purpose

These Terms of Use govern access to and use of the Smartnote service, published by Innovaweb, accessible at smartnote.fr.

By accessing or using the Service, you agree to be bound by these Terms of Use. If you do not accept these terms, please do not use the Service.

2. Service Description

Smartnote is an educational platform offering the following features:

  • Real-time audio transcription (free Browser Mode and paid Pro Mode)
  • AI-powered course analysis (Claude)
  • Course organization by subjects and chapters
  • Notes and flashcards saving and management
  • Different subscription plans (Free, Premium, Pro)

3. Account Creation

Registration

To use the Service, you must create an account using:

  • A valid email address and a secure password
  • Or via Google OAuth authentication

Verification

For email registrations, you will receive a verification email. You must validate your email address before you can fully access the Service.

Account Security

You are responsible for the confidentiality of your login credentials. We recommend using a strong and unique password.

4. Service Usage

User Obligations

By using the Service, you agree to:

  • Provide accurate and up-to-date information during registration
  • Use the Service in accordance with applicable laws
  • Not use the Service for illegal or unauthorized purposes
  • Not attempt to bypass the technical limitations of the Service
  • Not use the Service to send unsolicited communications
  • Not attempt to access other users' accounts

Usage Limits

Each subscription plan includes a certain number of monthly tokens for AI features. See our pricing page for more details.

Responsible Use

⚠️ Important Legal Warning

Recording conversations without the consent of all participants is illegal in many jurisdictions. In France in particular:

  • Article L226-1 of the Penal Code: Invasion of privacy by capturing speech is punishable by one year imprisonment and a €45,000 fine
  • GDPR: Processing personal data without consent can result in fines of up to €20 million or 4% of global turnover
  • Right to image and privacy: any unauthorized distribution engages your civil liability

By using this service, you commit to:

  • Obtain explicit consent from all persons whose speech will be recorded and transcribed
  • Respect copyright of the content you transcribe (courses, conferences, media)
  • Not record sensitive personal data (medical, financial, intimate) without appropriate authorization
  • Not distribute or share transcriptions containing personal information of third parties
  • Delete transcriptions containing personal data as soon as they are no longer needed

⚡ Sanctions for Non-Compliance

Failure to comply with these obligations may result in:

  • Criminal penalties: Fines and/or imprisonment
  • Disciplinary sanctions: Exclusion in an academic or professional setting
  • Civil liability: Damages to injured parties

Innovaweb disclaims all liability in case of use of the service in violation of applicable laws. The user assumes full responsibility for the use made of the generated transcriptions.

By using this service, you acknowledge having read and understood these warnings and commit to using the service legally and ethically.

5. Intellectual Property

Service Content

The Service, including its design, features, texts and source code, is the exclusive property of Innovaweb and is protected by intellectual property laws.

User Content

You retain all rights to the content you upload or create through the Service (transcriptions, notes, flashcards).

By using the Service, you grant Innovaweb a limited license to process your content solely for the purpose of providing the Service.

6. Service Availability

We strive to ensure maximum availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for:

  • Scheduled or emergency maintenance
  • Service updates and improvements
  • Security incidents requiring intervention
  • Force majeure events (outages, natural disasters, etc.)

7. Liability

Limitation of Liability

To the extent permitted by law, Innovaweb is not liable for:

  • The accuracy or completeness of generated transcriptions
  • Errors or inaccuracies in AI-generated analyses
  • Data loss due to technical malfunctions

Disclaimer of Warranties

The Service is provided "as is", without warranty of any kind, express or implied.

8. Suspension and Termination

By User

You can delete your account at any time from your profile settings. This action is irreversible and results in the deletion of all your data.

By Innovaweb

We reserve the right to suspend or terminate your account in case of:

  • Violation of these Terms of Use
  • Fraudulent or abusive behavior
  • Non-payment for subscribed services
  • Use of the Service for illegal purposes

9. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes take effect upon publication. Your continued use of the Service after modification constitutes your acceptance of the new terms.

10. Applicable Law

These Terms are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the French courts.
